Welcome to KFOX.AI ("KFOX", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of our website, applications, APIs, and AI-powered content-generation services (collectively, the "Service"). By creating an account, clicking "I agree," or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Account

1.1 You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By signing up you represent that you meet this requirement.

1.2 You are responsible for keeping your login credentials secure. You are liable for all activity that occurs under your account. Notify us immediately of any unauthorised use.

1.3 We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, abuse, or as required by law.

2. The Service

2.1 KFOX provides AI tools that generate product images, marketing copy, video, detail pages, and related e-commerce content based on inputs you provide (such as product photos and descriptions).

2.2 The Service relies on third-party AI providers, including but not limited to OpenAI, Anthropic, fal.ai, and Stripe (for payments). Outputs depend on these providers and may vary in quality, accuracy, or availability.

2.3 We may update, modify, suspend, or discontinue any feature of the Service at any time, with or without notice.

3. Credits, Plans & Payment

3.1 Access to most generation features is metered in "credits." Credits are granted on a monthly basis with subscription plans and may also be purchased in stand-alone packs.

3.2 Subscription billing renews automatically each cycle until you cancel. You can cancel at any time from the Plans & billing page; cancellation takes effect at the end of the current cycle.

3.3 All payments are final and non-refundable, except where required by applicable law. Unused subscription credits do not roll over to the next cycle. Credit packs purchased separately do not expire (subject to account being in good standing).

3.4 Prices and credit costs are displayed in the application and may change with notice via the Service or by email.

4. Your Content & Generated Content

4.1 Your Input. "Your Input" means anything you upload or submit to the Service (product photos, prompts, descriptions, reference images, etc.). You retain all rights in Your Input. By uploading, you grant us a limited licence to process Your Input solely to operate the Service for you (including transmitting it to AI providers to generate the requested output, and storing it as needed to deliver and improve your account experience).

4.2 Generated Content. "Generated Content" means the images, video, text, and other outputs produced by the Service in response to Your Input. As between you and KFOX, you own all Generated Content that you receive from the Service. You may use it commercially.

4.3 Training. We do not use Your Input or Your Generated Content to train our own AI models. Third-party providers we route requests through have their own data policies — see our Privacy Policy for details.

4.4 Your warranties. You represent and warrant that:
- You own or have all necessary rights to Your Input (including any product photos, brand assets, model likenesses, and reference images).
- Your Input does not infringe, misappropriate, or violate any third-party intellectual property, privacy, publicity, or other rights.
- Your use of the Service complies with our Acceptable Use Policy.

4.5 No similarity guarantee. AI models may produce outputs that resemble pre-existing works or real people. You are solely responsible for reviewing Generated Content before commercial use and for clearing any third-party rights that may be implicated.

5. Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy (AUP), which is incorporated by reference. Prohibited uses include, without limitation: generating CSAM; generating non-consensual intimate imagery; impersonating real individuals without permission; producing disinformation; infringing IP; attempting to reverse-engineer our models; or scraping the Service.

6. Intellectual Property

6.1 KFOX (and our licensors) own all rights in the Service, including software, models, UI, branding, and documentation. We grant you a non-exclusive, non-transferable, revocable licence to use the Service per these Terms.

6.2 Feedback you provide may be used by us without compensation or attribution.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Disclaimers

8.1 THE SERVICE AND GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

8.2 We make no representation that Generated Content will be accurate, suitable for your purpose, free of third-party IP claims, or fit for any commercial channel (Amazon, Tmall, TikTok Shop, etc.). You must independently verify outputs before use.

8.3 The Service may be unavailable due to maintenance, AI provider outages, or events outside our control.

9. Limitation of Liability

9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, KFOX, ITS AFFILIATES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUES, OR DATA; BUSINESS INTERRUPTION; OR ANY DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR GENERATED CONTENT.

9.2 OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) USD $100.

10. Indemnification

You agree to indemnify and hold KFOX harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from Your Input, Your use of Generated Content, your violation of these Terms, or your violation of any third-party rights.

11. Termination

11.1 You may terminate your account at any time by contacting support or via the account settings.

11.2 We may terminate or suspend your access at any time for breach of these Terms or as required by law. On termination, your right to access the Service ceases immediately. Sections that by their nature should survive (e.g., IP, indemnification, limitation of liability) will survive termination.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified in-app or by email at least 7 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms. Historical versions are retained and may be requested.

13. Governing Law & Disputes

13.1 These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws provisions.

13.2 Any dispute will be resolved by binding arbitration seated in New York, New York under the rules of the American Arbitration Association (AAA), except either party may seek injunctive relief in the state or federal courts located in New York County, New York for IP-related claims. You waive any right to participate in a class action.

13.3 If you are an EU/UK consumer, you retain your rights under your home jurisdiction's consumer protection laws and may bring claims in your home courts.

14. Miscellaneous

14.1 These Terms (together with the Privacy Policy and AUP) are the entire agreement between you and KFOX regarding the Service.

14.2 If any provision is held unenforceable, the remaining provisions remain in effect.

14.3 We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our written consent.

14.4 Failure to enforce any provision is not a waiver.
